Terms of use

1. Introduction

These Terms of Use (“Terms”) govern your access to and use of Kontrol Sentinel, operated by Samarkand Industries OÜ, registered in Estonia under registry code 17492007, with registered address at Narva mnt 5, 10117 Tallinn, Estonia (“Samarkand Industries”, “we”, “us”).

By accessing kontrol-sentinel.com, you agree to be bound by these Terms. If you do not agree, you must not use our services.

Where a separate subscription agreement or enterprise contract applies, those documents take precedence over these Terms to the extent of any conflict.

2. Eligibility

You may use our services only if you are at least 18 years of age, have legal capacity to enter into a binding contract, and are not prohibited from using our services under applicable law.

3. Accounts

You are responsible for maintaining confidentiality of your credentials, providing accurate information at registration, and notifying us immediately of any unauthorised access at [email protected]. You may not share account credentials or use another person’s account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable use

You agree not to: violate applicable law; infringe intellectual property rights; transmit malicious code; attempt unauthorised access to systems; scrape data beyond API terms; process data in violation of GDPR; impersonate any person; or use our services for fraudulent or harmful purposes.

5. Intellectual property

All content, software, design, data, and trademarks on kontrol-sentinel.com are owned by Samarkand Industries OÜ or its licensors.

You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. This does not include copying, reproducing, reverse engineering, or creating derivative works.

6. Fees, billing and taxes

All published prices are exclusive of value added tax (VAT) unless explicitly stated otherwise. Samarkand Industries OÜ is registered for VAT in Estonia under number EE102996999.

Tax applied at checkout is determined by your billing address and tax identification, in accordance with EU VAT rules for electronically supplied services:

• EU business customers who supply a valid VAT identification number are billed under the reverse-charge mechanism (Article 196 of the VAT Directive). No VAT is charged by Samarkand Industries and the customer accounts for VAT in their own jurisdiction.
• EU consumers and EU customers without a valid VAT number are charged the VAT rate applicable in the customer’s country of residence and Samarkand Industries remits that VAT via the One-Stop-Shop (OSS) scheme.
• Estonian customers are charged the Estonian standard VAT rate (currently 24%, applicable since 1 July 2025).
• Customers outside the European Union are generally not charged Estonian VAT. Local digital-services taxes may apply in certain jurisdictions and are calculated automatically at checkout.

Recurring fees are billed in advance for the selected interval. Fees are non-refundable except where required by mandatory consumer-protection law. Subscriptions renew automatically until cancelled in the customer’s billing portal.

Invoices are issued by Samarkand Industries OÜ and made available in the customer’s billing portal in PDF form. Each invoice complies with Estonian Accounting Act requirements and shows the supplier’s VAT number, the customer’s VAT number where provided, and a per-line tax breakdown.

7. Availability

We aim to maintain high availability but do not guarantee uninterrupted operation. We reserve the right to perform maintenance, modify features with reasonable notice, and suspend access in security incidents.

8. Third-party links

Links to third-party websites do not constitute endorsement. We accept no responsibility for third-party content or availability.

9. Limitation of liability

To the maximum extent permitted by law, Samarkand Industries OÜ shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, revenue, or data.

Our total aggregate liability for any claim shall not exceed the amount you paid to Samarkand Industries in the 12 months preceding the claim, or €500, whichever is greater.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be excluded by law.

10. Disclaimer of warranties

Our services are provided “as is” and “as available”. Information provided through Kontrol Sentinel (including market data, regulatory intelligence, screening results, compliance checks) is for informational purposes only and does not constitute financial, legal, compliance, or investment advice.

11. B2B services, API and screening outputs

Kontrol Sentinel is a business-to-business compliance intelligence platform. Access to the platform and its APIs is subject to the following additional terms:

• API rate limits. API usage is subject to per-tenant rate limits published in your subscription plan. Excessive use may result in throttling or temporary suspension.
• Screening outputs. Sanctions, PEP, adverse-media and watchlist matches returned by the platform are informational signals derived from third-party public sources. Clients remain solely responsible for verifying matches and making compliance determinations.
• Data processing for screening. Monitored-entity names submitted to the platform are processed under the Data Processing Agreement and transmitted to affiliated screening infrastructure within the European Union.
• B2B liability cap for compliance outputs. Kontrol Sentinel does not operate as a regulated compliance function. To the maximum extent permitted by law, Samarkand Industries OÜ’s aggregate liability for claims arising from reliance on screening outputs, alerts or intelligence signals shall not exceed the fees paid by the Client in the 12 months preceding the claim.

These terms apply in addition to, and do not override, the limitations of liability in Section 9.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Estonia. Disputes shall be subject to the exclusive jurisdiction of the Harju County Court (Harju Maakohus), Tallinn, Estonia.

If you are a consumer in another EU member state, mandatory consumer protection provisions of your country of residence may also apply.

13. Changes

We will provide at least 30 days’ notice of material changes. Continued use after the notice period constitutes acceptance.
